1. Acceptance of Terms

By accessing or using the ITAD Tools platform at itadtools.com ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ITAD Tools provides a suite of web-based tools for IT Asset Disposition professionals, including device specification lookup, pricing research, listing optimization, inventory management, secure data destruction with certificates of destruction, and automation agents. The Service is provided on an "as is" and "as available" basis.

3. Account Registration

To access certain features, you must create an account. You must be at least 18 years of age to create an account or use the Service. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in automated scraping, crawling, or data extraction beyond normal tool use
• Resell or redistribute access to the Service without authorization
• Overload or interfere with the proper functioning of the Service

5. Subscriptions and Payment

ITAD Tools offers a free tier with limited access to the Service. Paid subscription plans are available as follows:

• Pro: $49/month or $470/year
• White Label: $199/month

In addition to subscription fees, per-certificate fees apply: $1.25 per data destruction certificate generated through the Service.

All payments are processed through Stripe. We do not store your credit card information on our servers.

Subscriptions renew automatically at the end of each billing period. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

We offer a 30-day money-back guarantee on your first subscription payment. To request a refund, contact us at [email protected] within 30 days of your initial payment.

We reserve the right to change pricing with 30 days' notice to active subscribers.

6. Data Destruction Services and Disclaimers

ITAD Tools provides software-based data sanitization tools. Certificates of destruction document the sanitization process performed on each device.

SOFTWARE-BASED WIPING LIMITATIONS: Software overwrite methods cannot guarantee complete data destruction in all scenarios. Known limitations include:

• Host-protected areas (HPA) and device configuration overlays (DCO) that may not be accessible to software-based wiping tools
• SSD/NVMe wear-leveled blocks, over-provisioned areas, and firmware-managed regions that software cannot reach
• Physically damaged drives where sectors cannot be overwritten
• Drives with proprietary firmware that restricts access to certain storage areas

NIST Special Publication 800-88 recommends cryptographic erase or physical destruction for flash-based storage media (SSDs/NVMe). Software overwrite alone may not meet the "Clear" or "Purge" sanitization standard for all flash media types.

Certificates of destruction document the sanitization method used and the results reported by the software. They are not a legal guarantee that all data has been irrecoverably destroyed.

User Responsibilities: You are responsible for:

• Verifying that the wipe method selected meets your specific regulatory requirements
• Consulting with compliance officers before relying on certificates of destruction for HIPAA, GDPR, PCI-DSS, or other regulatory compliance
• Considering physical destruction for drives containing highly sensitive data where software-based methods may be insufficient

ITAD Tools makes no representations about the adequacy of any wipe method for any particular regulatory standard or security requirement.

7. User Content

You retain ownership of any data you upload to the Service (such as inventory spreadsheets, model numbers, or part lists). By uploading content, you grant us a limited license to process that data solely to provide the requested tool functionality.

You represent that you have the right to upload any content you submit and that such content does not violate any third party's rights.

8. Third-Party Data and Services

The Service retrieves data from third-party sources including manufacturer websites, eBay, and AI services. We do not guarantee the accuracy, completeness, or timeliness of third-party data. Pricing information, specifications, and other retrieved data are provided for reference purposes only.

You are responsible for verifying any information obtained through our tools before making business decisions based on that data.

9. Intellectual Property

The Service, including its design, code, features, and branding, is owned by ITAD Tools and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

10. Service Availability

We strive to maintain continuous availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance whenever possible. We reserve the right to modify, suspend, or discontinue any feature at any time.

11. Limitation of Liability

To the maximum extent permitted by law, ITAD Tools shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Loss of profits, revenue, or data
• Business interruption
• Inaccurate pricing or specification data
• Decisions made based on information obtained through the Service

Without limiting the foregoing, ITAD Tools shall not be liable for any data breach, data recovery, or regulatory non-compliance arising from the use of our data destruction tools or reliance on certificates of destruction.

Our total liability for any claim arising from the Service shall not exceed the greater of $100 or the amount you paid us in the twelve months preceding the claim.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. WE DO NOT WARRANT THAT DATA DESTRUCTION METHODS WILL RENDER DATA PERMANENTLY UNRECOVERABLE IN ALL CIRCUMSTANCES.

13. Indemnification

You agree to indemnify and hold harmless ITAD Tools and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your infringement of any third party's rights.

14. Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Orange County, California.

Mandatory Arbitration: For any claim or dispute with an amount in controversy of less than $10,000, you agree to submit the matter to binding arbitration administered under the rules of the American Arbitration Association (AAA). Each party shall bear its own costs of arbitration.

Class Action Waiver: You agree to resolve disputes with ITAD Tools on an individual basis only. You waive any right to participate in a class, collective, or representative action or proceeding.

Small Claims Court: As an alternative to arbitration, either party may bring qualifying claims in small claims court, provided the claim falls within that court's jurisdictional limits.

Nothing in these Terms shall deprive consumers in the European Union, European Economic Area, or United Kingdom of mandatory protections available under the consumer protection laws of their country of residence.

15. Termination

We may terminate or suspend your access to the Service with 30 days' written notice. In cases where you have violated these terms, termination may be immediate without prior notice. Upon termination, your right to use the Service ceases immediately. Your data will remain available for export for 30 days following termination, after which it may be permanently deleted.

16. General Provisions

• Severability: If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
• Entire Agreement: These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ITAD Tools regarding your use of the Service.
• Assignment: We may assign our rights and obligations under these terms without your consent. You may not assign your rights or obligations without our prior written consent.
• Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, or infrastructure failures.
• Waiver: Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.
• Notices: We may send notices to you via email or through platform notifications. Notices to us should be sent to [email protected].

17. Changes to Terms

We reserve the right to modify these Terms of Service at any time. For material changes, we will provide at least 30 days' notice via the platform or email before the changes take effect. Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.
